Client Work

For custom development projects, intellectual property ownership will be defined in individual service agreements. Generally:

• Custom code developed specifically for you becomes your property upon full payment
• Pre-existing code, frameworks, and tools remain our property
• We may retain the right to use general techniques and knowledge gained

5. Service Agreements

Specific projects and services may be governed by separate written agreements ("Service Agreements"). In case of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail for that specific engagement.

6. Payment Terms

For paid Services:

• Payment terms will be specified in individual quotes or Service Agreements
• All fees are quoted in US Dollars unless otherwise specified
• Late payments may incur interest at 1.5% per month
• We reserve the right to suspend Services for overdue accounts

7. Confidentiality

We treat all client information as confidential. We will not disclose your confidential information to third parties except:

• With your written consent
• To employees or contractors who need access to perform Services
• As required by law

You agree to maintain confidentiality of any proprietary methods or tools we share with you.

8. Warranties and Disclaimers

We do not warrant that:

• The Services will meet all your requirements
• Results obtained will be accurate or reliable
• Any errors will be corrected
• AI-generated content will be free from errors or biases

9. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability shall not exceed the amount paid by you for Services in the 12 months preceding the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We shall not be liable for loss of profits, data, business opportunities, or goodwill

10. Indemnification

You agree to indemnify and hold harmless Caffeine & Coders, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data provided to us

11. Termination

We may terminate or suspend your access to our Services:

• For non-payment of fees
• If required by law
• At our discretion with reasonable notice

Upon termination, your right to use the Services ceases immediately. Provisions that should survive termination will remain in effect.

12. Dispute Resolution

Any disputes arising from these Terms or Services shall be:

• First attempted to be resolved through good-faith negotiation
• Subject to binding arbitration under the rules of the American Arbitration Association
• Governed by the laws of the State of Delaware, USA

You agree to waive any right to participate in class action lawsuits against us.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Caffeine & Coders regarding the Services.
